The extraordinary general meeting in Beijer Ref AB (publ) today made the following resolutions in accordance with the proposals of the Nomination Committee, regarding the election of new board members. Due to the extraordinary situation resulting from the COVID-19 pandemic the extraordinary general meeting was carried out through postal voting, without physical presence.
Election of new board members
Bernt Ingman, Bill Striebe, Monica Gimre and Gregory Alcorn had all made their seats available and resigned as board members. The Extraordinary General Meeting resolved, in accordance with the Nomination Committee’s proposal, the election of new board members Kate Swann, Albert Gustafsson and Per Bertland for the period until the end of the next Annual General Meeting. Kate Swann was elected new chairman. Furthermore, it was decided that the Board shall consist of six Board members until the Annual General Meeting in April 2021. Joen Magnusson, Peter Jessen Jürgensen and Frida Norrbom Sams remain as board members.
The Board of Directors thus consists of Joen Magnusson, Peter Jessen Jürgensen, Frida Norrbom Sams, Kate Swann, Albert Gustafsson and Per Bertland. The Annual General Meeting has previously resolved on fees for the members of the Board of Directors and that fees are paid pro rata in relation to the term of service. Board fees are not paid to Per Bertland while he receives salary from the company.
