The board of directors of Beijer Ref AB (publ) (“Beijer Ref”) has resolved, pursuant to the authorisation granted by the annual general meeting on 25 April 2023, to acquire a maximum of 316,500 own shares of series B on Nasdaq Stockholm. The purpose of the repurchase is to secure Beijer Ref’s delivery of shares to the participants in the incentive program LTI 2023/2026 and possible future incentive programs and, in terms of liquidity, hedge payments of future social security contributions related to delivery of shares.

The acquisition may commence on 8 September 2023 and shall end no later than on 22 September 2023. The acquisitions will be carried out by Svenska Handelsbanken AB on a discretionary basis.

The acquisition may comprise a maximum of 316,500 shares of series B and shall be made on Nasdaq Stockholm in accordance with Nordic Main Market Rulebook for Issuers of Shares. The acquisitions will be made at a price within the registered price interval at any given time, which refers to the interval between the highest buying price and the lowest selling price. Payment for the shares will be made in cash. Reporting will take place to Nasdaq Stockholm in accordance with applicable rules.

At the time of this press release, the total number of shares in the company is 509,085,926 representing a total of 760,691,366 votes, of which 27,956,160 are shares of series A, representing 279,561,600 votes, and 481,129,766 are shares of series B, representing an equal amount of votes, of which 1,958,500 B shares are held by the company. In the event of a fully executed share repurchase, the company will own shares representing approximately 0.45 per cent of the issued shares in the company.
